AN attempt by Fred M’membe to transfer Post Newspaper assets to another company has been blocked by the Zambia Revenue Authority.
According to information availed to the Daily Nation, M’membe intended to transfer the Post Newspaper transport fleet, under the Post Courier Service, a wholly owned Post company, to a newly established company called Makumya Limited.
If this move had succeeded, the fleet of vehicles, plant and equipment and other assets under the Post Courier division would have been put beyond the reach of the Zambia Revenue Authority (ZRA), which is in court demanding tax arrears from the Post.
A search at the Patents and Company Registration Office (PACRA) has revealed that Makumya Limited is owned by Fred M’membe who holds 100 ordinary shares and his daughter Akende M’membe has one ordinary share with Lusaka lawyer Nchima Nchito serving as director and secretary of the company.
The company is housed on the 5th floor of Godfrey House in Lusaka and has an initial investment capital of K10,000.
The company was incorporated on 4th. June 2015.
ZRA has blocked the move because the assets could be out of the reach of the authority in the event that the newspaper failed to discharge its tax liability amounting to K16 million to date.
In addition, there are apparently other pending investigations regarding the operations of the Post Newspaper which the ZRA has been restrained from undertaking because of the order of stay of execution obtained by the Post from the High Court.
The investigations concerning other financial operations of the paper, would be undertaken when the appeal by ZRA to the Supreme Court is allowed.
ZRA is reportedly concerned that the highly indebted Post Newspaper’s plan to move the assets at a time when litigation regarding the assets is on-going, is a scheme meant to escape and avoid settling tax bills to ZRA which have now accumulated to more than K18 million.
In rejecting the Post Newspapers’ proposal to transfer its assets to Makumya Limited, ZRA stated that the Post Newspaper’s transport fleet was part of the assets that the agency could distrain should the newspaper fail to discharge its liabilities.
The Post Newspaper along with its owner Fred M’membe, suspended Director od Public Prosecutions (DPP) Mutembo Nchito and his brother Nchima Nchito’s locked in the K14 million Development Bank of Zambia (DBZ) loan saga which, according to High Court Judge Nigel Mutuna, was obtained by fraudulent misrepresentation.
The Post is currently in court contesting the K16 million ZRA is trying to recover.

This is jungle justice: the ZRA does not have the right to stop a company from restructuring. That it could have placed the assets out of the reach of ZRA is also untrue.

M’member, you did very well between 1991 and 2008. However, when you wnet to bed with SATA- MHSRIP I new that you had dug your own grave. You should have continued to blow the whistle even during Sata’s reign. You would still have been his better friend had you done that, and you would probably not have ended like this. I used to buy the post every day from the time it was launched at Evelyn Hone in 1992, but I stopped prior to January, 2015 Presidential Bye elections because you tried to divide the people of Zambia. If Zambians were foolish, there would have been blood shed in Zambia, but thank God, Zambia is blessed. So now wapya munzi. Even Mulongoti had once said we will finish the post wehn we come back to power- 2011.

These villains got away with the K18,000,000 Development Bank of Zambia saga and this time they shouldn’t be elusive. They tagged Chiluba and Bwezani as thieves when they were also very busy stealing from the poor Zambians. Just a recap, when ECL was campaining, he mentioned that some known media houses owed ZRA collosal sums of money and once in power he would ensure they paid to the Treasury as required by the law. What did M’membe do the next day? He increased the price of his paper fro K3 to K5. This did not seem to help him out of the huge debts and started a vicious campaign against President Lungu denting the image of Zambia to the outside world and potential investors. Next we saw his pegged at K7, neither did this help and today his rubbish paper is at K10. The man even forgot that the sales of his paper were surpassed by Daily Mail and Daily Nation who have become a choice of paper but…

If ECL has gotten anything right it has to be now allowing himself to be cowed by these charlatans. In a well governed company the Board of Directors are left to manage the business on behalf of shareholders. Alas, Mmembe continues to run his businesses including the newspaper like a kantemba. And, that’s because he thinks he can fool all the people all the time. He does care about destroying people’s lives, at all.
As for the taxes I find quite shocking that he is able to drug it out. It’s tax and simply has to be paid. Period.
Well done ZRA and ensure that this matter is concluded before the end of December 2015! Its month end again and we the servant and faithful workers will be paying huge taxes to the Treasury, why shouldnt the man who has scared away investors in our country made to go scot free?
Patriotic journalists must seriously follow up this matter and let them also take the lead in explaining the impacts of global effects on the copper and why the job losses are inevitable in the given circumstances instead of just being lukewarm.

Mr. Mmembe may not be a saint but I am amazed by the sadisstic comments from some of you folks here. All you who seem to be sadistic and enjoy the ZRA-Mmembe saga remember what David said in one Psalm: rejoice not oh mine enemy, for when I fall, I shall rise. In countries where democracy reigns supreme, government agencies (I did NOT say PF government!) work with citizen-owned companies to help them settle their debts in reasonable time in an open manner. In a shamocracy like ours here, government agencies are used by those in power to settle scores and the gullible become cheerleaders for those in power.

I don’t know which law ZRA is leaning on, but ZRA has no right to interfere unless by court judgement. It’s never happened anywhere in the world. Let M’membe go ahead and ZRA should follow proper channels. After all, they are not the only creditors to the Post or any other company in similar dire straits. They will lose.
I really sympathize with my brother Fred M’membe. I think he needs sympathy and prayer. Each time I buy and read the post newspaper, I guess M’membe might have been mistreated possibly when he was a little boy. I too went through much suffering as a child after dad rejected me. For this reason I ended up hating everyone including God and heaping all the blame on God but luckily my life was transformed after I surrendered my life to Jesus Christ and became born again after hearing the word of God. Many who were mistreated in their childhood stages are very likely to develop hatred for other people later in life. We Love you brother Fred.
Victor, this is a very nice comment. You have touched my heart. I also went through this when my father died. We were five in the family, but my father was too poor. The little he left behind was grabbed by our uncles and aunties. Our mother and us were left with nothing…. but God saw us through. The people who tormented us are still alike and have seen what God has done to us poor orphans. We became Born again soon after the death of our father…. and so we forgave those that stole from us.
Indeed Fred should turn to God so he may know how to feel for other people. Not all he has done is bad, but sometimes he goes too far. He tends to personalise issues and as someone has said above, he always wants to be a king maker for Zambia.
