The opposition forum for Democracy and Development FDD has observed that the appointment of a new managing director at ZESCO when the board is not in place is an abuse of office by the Minister and is against the tenets of good cooperate governance.
FDD spokesperson Antonio Mwanza said that the action taken by the Minister to dissolve the board at ZESCO and appoint a new managing director is totally against good cooperate practice as the managing director is suppose to be appointed by the board of directors after advertising the vacancy by the board.
Mr. Mwanza explained that the managing director does not report to the Minister but to the board hence they are the people mandated to appoint the managing director as opposed to the minister.
“The action that the Minister has taken to dissolve the board at ZESCO and appoint a new managing director is totally against good cooperate practice.
“What is suppose to happen is that the Minister appoints the board board at ZESCO and then the Board advertises for job of managing director and out of their wisdom the board appoints the person they feel is qualified to be the managing director because the managing director at ZESCO has to report to the board and not the Minister.
As it is now we have no board but the managing director has been appointed by the Minister. We don’t know the reason why he has appointed him. We don’t know because the job was not advertised. We don’t know the relationship, we don’t know whether he has given him the job on the basis of friendship, tribal or any other basis because this person has not undergone the normal interviews,” he said.
Mr. Mwanza further said the reasons why there are serious challenges with service delivery in the PF government is due to the non adherence to the simple procedures by top government officials who seem to lack ideas of how to run government institutions.
“Now we have an MD who is going to be working at ZESCO without a board we don’t even know how he will be operating. The problem with PF is the Cipante-Pante way of doing things this is why there is a serious problem in terms of service delivery with the PF government because instead of following the normal procedures and ensuring that the best suitable candidate is appointed by the board the Minister has done his own thing because he believes he has all the powers todo what he wants.”
“These are the practices which brought us problems with Professor Clive Chirwa, Prof Chirwa was refusing to accept the decisions of the board as he used to say he was only answerable to President Sata. We are creating small gods and small monsters because we don’t want to follow simple rules.”
Mr Mwanza further called on the public and those entrusted to run the affairs of the country to discourage the behaviour of the Minister adding that the country is losing a lot of money due to corruption and abuse of office which is being perpetrated by officials who do not have boards to control their actions.
“We had the same problem at RDA were we had Willie Nsanda operating for more than a year without a board but was making decisions which decisions were supposed to be approved by the board and not by himself alone how then can we curb corruption, how can we curb abuse of office if people can be making decisions on their on and reporting to the Minister who appointed them,” Mr. Mwanza observed.
Mr. Mwanza also warned that some Ministers and other government officials risk going to jail for disregarding the law when the PF government is kicked out office in 2016.

Indisputably Hon. Yaluma has fatally overstepped his mandate. This decision sets a very dangerous precedence in the country’s Corporate Governance code. More with respect to responsibility in the handling of public institutions that involves country’s fortune and conducts some big commercial activities on behalf of Zambians. Such oversights erode public trust with respect to issues of institutional integrity, and regulatory framework public companies are supposed to be existing with. The Minister has put himself on the line for public scrutiny while complicating the work of the incoming MD no matter how qualified for the for job he may be. its not necessary to make such costly decisions more especially that Hon Yaluma is well educated ex-ZESCO senior Engineer with vast experience.
This is what I precisely said and I was laughed at.
He had no reason to appoint the man he did.
It was egregious and showed how inept the Minister is.

Corporate governance mwebantu , most Zambians dont know this .Am so ashamed today.
In the absence of the board, the next supervisor can appoint the MD. But that doesn’t mean that the MD will not report to the board after it has been constituted. Myself I was employed by the board but I do not report to the board.
Yes the incoming board will have to confirm or disapprove the appointment. But its a contentious decision the Minister could have avoided. It erodes the good and moral trust in the eyes of the public. I’m very sure that his appointing authority who is the President will reprimand to avoid a repetition of the same mistake in future.
Things are getting interesting but worrying at the same time. I said it before the elections that the decision we were going to make on 20th Jan was going to determine our future. I hope its not for the worse of things.
Do these ministers receive orientation or induction when given new appointments? If so i don’t expect mistakes or they can be minimised.

Corporate Governance differs from country to country. what is important is to practice good corporate governance. In Zambia for instance the government owned companies, the CEO reports to the Board which in turn reports to a respective Minister thru’ the permanent secretary thats how it is. In the absence of the board the CEO directly reports to the minister thru’ the PS. Therefore, the Minister has power to appoint/ disappoint a CEO of a parastatal in the absence of a board. Besides the minister has the power by law to dissolve the board and where there is no board he can then relieve the MD of his duties. Note however that he has not appointed a new MD.
