Fred M’membe loses an injunction to restrain Investrust Bank from handing over assets held in securities

THE LUSAKA High Court has thrown out an application by Fred M’membe for an injunction to restrain Investrust Bank from handing over assets held in securities in connection to the debt owed by the Post Newspaper.

High Court Justice Winnie Mwenda said Mr M’membe had no locus standi to make any claim or speak on behalf of the Post Newspaper in liquidation when there was a provisional liquidator in the name of Lewis Mosho appointed to wind up the company.

Justice Mwenda said Mr M’membe had no legal standing to institute court proceedings against Investrust Bank Limited outside the authority of the liquidator as he claimed in his affidavit.

“It is my considered opinion that the claims do not disclose any reasonable cause(s) of action for the reason as a shareholder in the Post Newspaper Limited, the plaintiff has no locus standi to institute these proceedings on behalf of the company outside the name of the provisional liquidator, and therefore, cannot establish a clear right of relief in the action.

“I find that all the claims by the plaintiff do not disclose reasonable causes of action and that they are in effect vexatious and an abuse of court process,” she said.

She explained that the mere fact that Mr M’membe was a major shareholder in The Post Newspaper Limited did not give him the right to make any claims or interests on properties and assets in relation to the newspaper company as it was now in liquidation and under a provisional liquidator to wind up its operations.

The court has also slapped legal costs on Mr M’membe as a way of condemnation of his abuse of the court processes by litigant as guided by the Supreme Court Rules.

This was in a matter in which Mr M’membe sued Investrust Bank in connection with a consent order delivered in a related matter by High Court Justice Sunday Nkonde in which the bank applied to be joined as respondent to the winding up case of the Post Newspaper in
liquidation.

Mr M’membe wanted the court to declare that the action taken by Investrust in relation to the debt owed over a loan obtained by the Post was null and void, including attempts to assign such debt to the provisional liquidator.

The ruling means Investrust Bank must surrender properties held in debentures to the liquidator to facilitate for the winding up process before court.

Mr M’membe wanted the court to restrain the bank from surrendering the Post debt to the liquidator or his proxy or otherwise dealing with Mr Mosho in relation to the Post Newspaper Limited debt.

    • Not true. Zambia is a very good country. Do not lie. Mmembe miscalculated his luck. It is normal in business to miscalculate. He must just humble down and seek meeting the President, how to pay back. Am sure a way out would be found. After-all he employees most Zambians. He should stop scandalizing innocent people. Everyone looses in the end. To start thinking that when HH takes over Chagwa will be dealt with is wrong. We must not run a country out of vengeance.     • Why would a secured creditor hand over its debentures to a liquidator? The secured creditor will get priority in the liquidation anyway. Mmembe definitely has no grounds for intervening.

Now the court is saying he is abusing the court process by constantly running to it for relief when he is no longer in charge of The Post as it has been liquidated and ceased to be. If you are a whistle blower you must come with clean hands. Even Jesus Christ said the same thing. He had started very well but traded his morals with pieces of silver.     HH will tell him that, first you have to say Maureen Mwanawasa has found you ‘tax in a bin’.

    When Maureen refuses to involve herself in that falsehood you can then revise you petition.

    If all other witness whom you have listed as having seen how your tax was stolen refuse to involve themselves in falsehood, you can then embark on generating preliminaries.

  16. Best advice is to just deal with this quickly instead of all these court cases. Sometimes you need to give up, let everything sieve down to the right place and then start again, afresh. Show some humility and accept your fault and rectify it. Why get more court charges?

    • They are government institutions please. In fact they sometimes trade off taxes simply they cancel their taxes. We need ZNBC and daily mail to make government programs be known. Even the BBC is a government institution my friend. In south Africa here SABC and metrol rails are owned by the government.
      You cannot have a newspaper that always spreads hate speech about a President. Such does not happen in the UK or South Africa.     Its less costly and easier in terms of capital to restructure a company that has not been given up for creditors distribution or liquidation as you may say it

    Even if you had to be Given that BANCRUPCY amnesty by Gov. the Cost of Capital for the Post in Liquidation would be very High

    Perhaps for the Future Genuine Businesses and business men must be able to file or bankruptcy and be given time to restructure

    Thinking about, and missing the post will not help. Post Newspaper is part of an informal syllabus for extra-curricular activities in community history.

    Don’t misunderstand me, I am not saying school curriculum. The former Post Newspaper has not capacity to feature on formal school curriculum, but history curriculum for pass-time street stories.
