Will Zambian Airways directors face the music?

ZAMBIAN Airways planes grounded at the Lusaka international airport

The suspension of Zambian Airways operations has largely been attributed to the huge amounts of money it owes its creditors which now amounts to about US$25 million.

According to the latest edition of Executive Issues obtained in Lusaka yesterday, the airline had become bankrupt and its board and management had tried several rescue measures to resuscitate its operations but to no avail.

“Liquidation is the only answer, but even then the creditors will not recover their monies,” said a risk compliance manager of a local commercial bank.

The commercial bank for which the senior manager works is among other financial institutions that have been loaning the airline millions of dollars.

He said the US$25 million debt was mainly from big creditors and if other smaller suppliers added what they were owed, the whole amount could go beyond US$30 million.

“They will need a Government bail-out for them to survive but it is very unlikely that the Ministry of Finance will use State resources to keep a private airline in the midst of various problems affecting the country especially in the mining industry,” he said.

The directors of the airline are Post Newspaper editor, Fred Mmembe, Task Force on Corruption prosecutor and Lusaka lawyer, Mutembo Nchito, hotelier Gaudensio Rossi and Passmore Hamukoma who is board chairman.

“We hear three commercial banks are contemplating lifting the corporate veil on the airline so that directors and shareholders should be made accountable for the debts which have accumulated in recent years,” the manager said.

The shareholders of the airline are JCM Holdings owned by Mr Nchito and his brother Nchima, Seaboard which is a United States firm that owns and manages National Milling Corporation and the Post Newspapers.

The Post Newspapers injected US$3 million in the airline using a loan facility from Investrust Bank.

Executive Issues reports that attempts had been made to attract investors to buy the airline but most of them have not been impressed with its financial position which got worse when the global oil prices tumbled on the international market.

  12. This is a sad state of affairs indeed. At the end of the day, its down to poor financial management and lack of foresight.

    If the capital structure of Zambian Airways was a healthy and risk averse one, they would have a capacity to borrow now and buy themselves sometime.

    Perhaps its the case that the business model is not workable and this should be considered seriously.

    Either way, i am oppossed to lifting the corporate veil as i think it is not good for business in general and will set a dangerous precedent.

Anyway ZA was a Ltd company so at least the POST Newspaper will not be drawn into this. But again that $3 million loan they took to invest in this Airline. I hope they have repaid it back in full by now. Otherwise all the best..the plot now thickens. I would not be surprised if ZA come back swinging tomorrow about their next move. Get the popcons guys, this movie is getting interesting.

    If you have little skill at running an airline, the business may not last.

    Hope the planes will be sold to a more competent local operator for the sake of our tourism.

    Well as for the Nchitos, that is how money easily made goes. Prolonging plunder cases so that you can continue getting cash from the Govt is not just a sustainable move. There you have it easy come easy go.

  30. The corporate vail has to be lifted. These people were in the forefront against Zambia National Oil Company (ZNOC). ZNOC did not need bail out, management had indicated that the ZNOC debt was fictious and took The Liquidator and Government to court. Government manipulated the court system. The issue of ZNOC will be revisted in courts of law to demostrate how these chaps connived with Chiluba and Mwanawasa using Musonda of ZANACO and Sokota of Deloittes. We will only have corporate responsibility if issues get resolved to the logical conclusion. Lifting the vail for Zambian Airways and holding the people responsible for the fraudulent ZNOC liquidation is the answer to this.Lift the vail.

  63. Government should bail them out but dessolve the board of directors and make them accountable for mismanagement. Why has it taken them this long to realise they had debts to pay?   69. I don’t think they will be bailed out, not anytime soon, airlines in zambia are just like anything else.. clubs (zenon, hq, 101), shopping centres (shoprite, spar) etc there is no longivity. The worst thing is companies don’t revamp they completely phase out and die a painful death.. which is any wonder will zambia progress, we seem to be going backwards.

    Zambians, how in this world should we find joy in what is happening at ZA? This is an indegenous Zambian company and all we do is celebrate the problems the firm is going through??? Come on Zambian’s

Still this does not mean that you supress competition by pumping in Tax Money!! If ZA is to recover then let then learn from their mistakes.   89. The issue of a bailout should not come into it. As long as the shareholders carried out their duties responsibly then their laibility is limited.

    However, if it is found that they did not apply their responsibilities as per company act requirements and corporate governance guidelines, then they should be personally accountable.

    The last audit report should also be scrutinized to see if the auditors were negligent in their duties/reporting.

    My Nchito is a Lawyer, what made him think he was capable of running an airline, one wonders.

    Every business has got ethics; running an airline is not like consultancy, or selling newspapers after you have captured pictures some exposed women on friday night, and you have insulted some few politicians and you feel you are in business, No, No.
    I think that business needs more planing that spending and expanding.
    Even expenasion you have to do it within your means and capacities with well calculated borrowing (loan) where necessary.
    You dont grow a company in one day, and wish to appear big when your responsibilities are being negleted.

  112. That’s the problem you get when you don’t separate the roles of management and shareholders.There was no one to counter check the other.They became too powerfull and used the money as they pleased.

    It’ll be unwise to bail out such a company which neglected basic corporate governance requirements.

    It’s time for the directors to account for their actions at Zambian Airways.

Either this is a genuine business glitch, and it happens and if so, ZA needs help either local or external recapitalization OR could this be corporate fraud? This also happens as we saw at ENRON, WORLDCOM, etc. Now the government and indeed everyone should investigate what it is, then only take steps in the right direction. So stop speculating, we all want vibrant Zambian owned corporations as long as they create jobs and give back to the people through corporate social responsibility. You all wish the Board and Management of ZA good luck.

In all essence the president has nothing to do with the management of the airline, but had the shareholders and Ba RB had a better relationship the outcome of this story would have been more positive for them! Its embarassing to say the least that zambias airlines are virually obselete! There are airlines such as ethiopian, that don’t offer the services that ZA offer; airline staff are rude, the food is .. but they are still in existence and growing stronger by the looks of it

  120. There is no government anywhere that was going to bail out Zambian Airways.
    There is always criteria for bail out, you dont just go to look for an underperfoming company and you want to bail it out.
    It must meet proper business ethics, their financial reports must be worthy; their reasons for bailout must be acceptable, not greed, neglegence and excitement.
    It must not be due to their practice and there must be reasonable assurance that trend will not repeat in similar way.
    Not where your books are not in order, neglegent, and all, No. In fact I commend Dora Siria. Do you know why POST did not cover HH in last elections? He could not promise anyone unethical govt favours

  121. I must also state here that we need to disguish between company bailout and industry bailout.
    No govt in the West, Europ or Asia is making any bail out of private firms. What they bail out are industries, eg in US the entire financial industry was bailed out with $800bn, no individual firms.
    I will tell you that GM, Ford, and Chrysler wanted a bailout of capital injection but the US govt, both the outgoing and the incoming debated on the lines of bailing out with a ‘management takeover’ for a reasonable period.
    The same wa the case with UK, concerning Juguar Motor Co., they had two options 1) Bailout with management takeover, 2) Or sale out.
    They’ve sold it to TATA India.

The tourism industry is finicky its hard to penetrate, so many travel agents have former air hostess’ playing the role of customer services.. when is this cycle going to end?

    Zambian Airways has NO RIGHT to be bailed out by Govt!! Just as QZ wasn’t – yet it was part state owned. ZA’s going down has really little to do with the global economic downturn, but stems from a long history of not meeting their outstanding debts. They seem to have been enjoying their Incomes BUT neglecting to pay what they owed. It is easy to fall into this trap, it all basic common sense, which appears to have been very uncommon to ZA’s proprietors. Yes proprietors & ZA may be separate, but the knock one gets by losing genuine business trust takes ages to recover from. Those monies will still have to be paid.

    He told Sikasote and Sikazwe to make sure that everyone got part of the money and that no one should be left out.

    “Everyone should be given something,” President Banda said.

    Later, Sikasote and Sikazwe went to the cadres to brief them about the money President Banda had left for them.

    The cadres were overjoyed and sang praise songs for President Banda, as Sikasote addressed them in their local language.

Purchasing of air tickets is subject to the normal basic tender procedures with the lowest quoted ticket being bought. Failure to adhere would entail an audit querry. Depending on where one is going, it was not always cheaper to travel by Zambian airways because Zambian airways is not a member of star alliance, which meant it wasn’t always cheaper if you have other connecting flights.

    The problems at Zambian Airways are not the making of the management team or their board.

  267. Passenger carrying business airlines rarely make profit. Most Airlines I know make money from their cargo planes. Zambian Airways did not think on these lines and the reality is they were going to struggle. I fly on their planes each time I am in Zambia mainly between Lusaka and Ndola. The 17 seater is rarely full. In fact at one time, there were only 7 of us going to Ndola at about midday. The other time I flew to Chipata and the plane was not full again. So I take it that this is the norm hence the losses. The Tanzania route might have been quite profitable as on that route when I took the DC 8 flight, we were quite many and Santos Pio was our pilot.

    Also, advertising my be very poor. In South Africa, you can get a plane ticket for a trip from Cape Town to Jo’burg by One Time or Kulula Airlines lower than it would cost you to travel by a bus say Greyhound services. Even fares for South African Airways are affordable to the general populace.

    Another, problem is that most businesses are seemingly concentrated in Lusaka while other cities/towns have little going on.

I have tried several times to arrange flights for colleagues from the UK and there is simply no way to book Zambians airways flights from abroad. This has really been a problem. South African Airways usually grabs most of these bookings. Well, what we need is a serious rethink on how to organise an effective airline. May got-private partnership with shares for employees like Kenya Airways did. We certainly need an airline to service our internal routes if tourism is to be promoted.   330. good day all.i have first hand information about all this zambian airways circus,the airline has been in finacial problems for the past 2 years.they got support from our late beloved president levy mwanawasa.all this Zambian airways mess came to light after the takeover of office by RB as he had denied talks with mutembo nchito to extend the $2millon they owed NACL to 5 years.They also ofered NACL to turn the debt into equity. RB and his so called MMD pushed zambian airways to its closure to pave way for a new airline called “AIR ZAMBIA” to be run by one of RB’s Sons.They have already aquired two aeroplanes.These Lads think running an airline is like running a fleet of marcopolo buses.
